Getting Started

The offering is open only to verified accredited investors, as defined under Rule 501 of Regulation D, pursuant to Rule 506(c). We’re required to verify your accredited status before accepting any investment.

Request the Private Placement Memorandum, Investor Qualification Questionnaire, and Subscription Agreement using the form on our Investment Opportunity page. From there, you’ll review the Memorandum with your own advisors, verify accredited status, and submit your subscription documents.

Each Note requires a minimum investment of $25,000. After your first unit, you may invest in fractional increments.

Yes. We accept both direct cash investment and capital held in a Self-Directed IRA or 401(k).

The Offering

You’re purchasing a secured Promissory Note issued by Outer Light Fund, LLC not equity in the Company. Each Note is secured against all of the Company’s Properties and assets.

Class A Notes require a $250,000 minimum and earn 8% simple interest annually. Class B Notes require a $25,000 minimum and earn 6% simple interest annually. Class C Notes are issued by addenda at the Manager’s discretion, with custom terms based on investment size and length of commitment.

No. There are no acquisition fees, no management fees, and no disposition fees. Investors are paid before the Manager makes any money the Fund earns its return by buying and operating profitable real estate.

Cash-flowing commercial and multifamily real estate in the northeastern United States single-tenant net-lease properties, multi-tenant commercial buildings, multifamily properties (30+ units), and select fund or joint-venture partnerships.

Distributions & Liquidity

Interest begins accruing the day after your funds are received.
Distributions are paid twice annually, on February 28 and August 31.
Principal withdrawals require twelve months’ advance written notice. This notice period lets the Manager manage capital in an orderly way across the portfolio.
Yes. Automatic rollover of Note Payments is available on request.

Risk & Structure

No. An investment in Outer Light Fund, LLC Notes is speculative and involves substantial risk, including possible loss of principal. Note Payments are made solely at the Manager’s discretion and only to the extent of available cash. Full risk factors are disclosed in the PPM.

Outer Light Fund, LLC is a Connecticut limited liability company, offering debt (secured Promissory Notes) rather than equity. It’s an open-ended fund with a twelve-month withdrawal notice period.

The Fund is managed by Robert “Bob” Dubowsky, alongside a family team spanning construction, acquisitions, and commercial credit underwriting the same operators who vet every deal in their own personal real estate holdings.

You’ll receive semi-annual distribution statements along with annual updates from the Manager.
